Please read these Terms of Use (hereinafter – “The Terms”) carefully before you begin using DubRight services.
By performing any of the acts mentioned below, you acknowledge that you have read and accepted these Terms: (1) registering to try our services free of charge, (2) purchasing a paid account, (3) accessing and using the Website or services, (4) checking a box to accept these Terms, or (5) registering an account on the Website.
Any utilization of DubRight’s service shall be a condition precedent that you accept these Terms completely and unconditionally, and the terms of such other documents referred to herein.
If you do not accept these Terms in their entirety, you are not allowed to use DubRight’s service for any purpose whatsoever.
1. Scope of Service and Terms of Use
1.1. DubRight (“we,” “us,” or “our”) offers a set of AI-based dubbing and localization services (the “DubRight Service” or the “Service”) to customers (“you,” “your”) upon payment of relevant fees. The AI-powered dubbing, translation, voice synthesis, and associated media localization capabilities are part of our services.
1.2. Human-checked translation or quality voice-over corrections as an option, at an additional cost, can be requested as stated in the invoice or service interface (“DubRight Service Pro”).
1.3. Order-specific terms like project scope, language choices, video length, and payment will be specified in the invoice or through the platform interface.
1.4. Any services will be available only if the user has the legal capacity and is of sufficient age to enter into binding agreements in accordance with applicable law.
1.5. We make no warranty of storing your materials or the durability of results upon completion of service.
2. Customer Account
2.1. Please register an account on our Website. You confirm that you provide accurate, complete, and up-to-date information during the registration process. We can suspend or remove your account if your provided information is deceptive, incomplete, or incorrect.
2.2. You must keep your account login information confidential and undertake not to share it with third parties. Inform us at once if you suspect someone has accessed your account without your authorization.
2.3. Automated or multiple registrations are not permitted. You may have only one account, which is not transferable.
3. Service Fees and Payment
3.1. Usage of the DubRight Service is subject to the applicable fees indicated on our platform at the time of order. Payments can be made via accepted methods.
3.2. For the DubRight Service Pro, payment terms are typically 50% upfront and 50% upon completion, unless specified otherwise in the invoice.
3.3. Service costs are calculated based on the total duration of your materials, regardless of the translated content length.
3.4. Taxes and levies are excluded from quoted prices. You are obligated to pay any relevant taxes.
3.5. Transfer commissions and payment processing fees are your responsibility.
3.6. Where a third party pays on your behalf, it is considered authorized by you.
3.7. Trial offers or promotional services can be delivered at no cost under defined conditions, subject to change at our discretion.
4. Intellectual Property
4.1. Your original materials and any rights to them remain your property. By availing yourself of our services, you grant DubRight a license to use, store, and process your materials for service provision and development purposes only.
4.2. You undertake not to:
Use the Service in unauthorized ways under these Terms;
Alter, decompile, or reverse-engineer our site;
Use the Service to create unlawful, infringing, or harmful material.
4.3. Breaches of this provision will be a material breach of these Terms.
5. Warranties and Disclaimers
5.1. You guarantee that your materials are legal, non-infringing, and that you have the necessary rights to use and translate them.
5.2. We guarantee that we have the rights to offer the services, but do not warrant against errors in operation or specific results.
5.3. The Service is offered “as is,” and we exclude warranties of fitness for specific purposes or non-infringement.
6. Liability
6.1. Both parties are responsible for violations of these Terms and commit to indemnifying one another against damages generated by breaches.
6.2. We will not be responsible for indirect, consequential, or incidental damages, including loss of data or loss of profits, beyond the past six months of service fees paid.
6.3. In the event of a breach, liability will be limited to direct damages to the extent paid in the past six months.
6.4. Each party will not be responsible for failures due to causes beyond its reasonable control (“Force Majeure”), like natural disasters or government actions.
7. Suspension and Termination
7.1. You can close your account or discontinue using the service at your discretion.
7.2. Either party has the right to suspend or terminate access for a breach of these Terms or for technical reasons.
7.3. Material breaches or persistent breaches can lead to cancellation of the account immediately, with all data wiped out.
7.4. Termination discharges both parties from further obligations, other than liabilities incurred before termination.
8. Confidentiality
8.1. The parties agree to maintain confidential all confidential or proprietary information shared in the course of providing the service.
8.2. Confidentiality obligations shall continue for three years after the expiry of the agreement.
8.3. Exceptions cover disclosures that are legally required or authorized disclosures subject to consent.
9. Anti-Corruption
9.1. DubRight has a zero-tolerance approach to bribery and corruption, expecting partners and employees to uphold ethical standards.
9.2. No party will give or accept bribes or facilitation payments in an effort to gain an unfair advantage.
9.3. A material breach of this policy shall entitle us to terminate this agreement immediately.
10. Governing Law and Dispute Resolution
These Terms shall be governed by, and construed in accordance with, the laws of the State of Delaware. Any dispute shall be resolved by the competent courts in that jurisdiction. Nothing shall prevent us from obtaining injunctive relief or other remedies.
11. Additional Terms
Auto-Renewal. Fees for certain Services are automatically charged on a recurring basis, and when signing up for a Service with a recurring payment obligation, you will be able to select a recurring billing level and renewal term that will apply to your receipt of such Services (“Subscription”) (e.g. monthly or annual payment). Unless you cancel or change your Subscription in accordance with these Terms of Service, any Subscriptions you have signed up for will be automatically extended for successive renewal periods of the same duration as the Subscription originally selected, at the then-current non-promotional rate. By signing up for a Subscription, you agree that we may submit the charges associated with such Subscription for payment on the applicable schedule and you will be responsible for such charges. Your charges may be payable in advance, in arrears, per usage, or as otherwise described when you initially selected to use the Service and/or Subscription. BY SIGNING UP FOR A SUBSCRIPTION YOU ACKNOWLEDGE AND AGREE THAT WE MAY SUBMIT PERIODIC CHARGES (E.G., MONTHLY OR EVERY THIRTY DAYS) WITHOUT FURTHER AUTHORIZATION FROM YOU, UNTIL YOU PROVIDE PRIOR NOTICE (RECEIPT OF WHICH IS CONFIRMED BY US) THAT YOU HAVE TERMINATED THIS AUTHORIZATION OR WISH TO CHANGE YOUR PAYMENT METHOD. SUCH NOTICE WILL NOT AFFECT CHARGES SUBMITTED BEFORE WE REASONABLY COULD ACT. TO TERMINATE YOUR AUTHORIZATION OR CHANGE YOUR PAYMENT METHOD, GO TO THE BILLING SECTION OF THE SERVICE. PLEASE CONTACT US AT SUPPORT@DubRight.ai IF YOU NEED ANY ASSISTANCE. This does not waive our right to seek payment directly from you.
Current Information Required. YOU MUST PROVIDE CURRENT, COMPLETE, AND ACCURATE INFORMATION FOR YOUR BILLING ACCOUNT. YOU MUST PROMPTLY UPDATE ALL INFORMATION TO KEEP YOUR BILLING ACCOUNT CURRENT, COMPLETE AND ACCURATE (SUCH AS A CHANGE IN BILLING ADDRESS, CREDIT CARD NUMBER, OR CREDIT CARD EXPIRATION DATE), AND YOU MUST PROMPTLY NOTIFY US OR OUR PAYMENT PROCESSOR IF YOUR PAYMENT METHOD IS CANCELED (E.G., FOR LOSS OR THEFT) OR IF YOU BECOME AWARE OF A POTENTIAL BREACH OF SECURITY, SUCH AS THE UNAUTHORIZED DISCLOSURE OR USE OF YOUR ACCOUNT CREDENTIALS OR PASSWORD. CHANGES TO SUCH INFORMATION CAN BE MADE DIRECTLY BY YOU USING THE SERVICE. PLEASE CONTACT US AT SUPPORT@DubRight.ai IF YOU NEED ANY ASSISTANCE. IF YOU FAIL TO PROVIDE ANY OF THE FOREGOING INFORMATION, YOU AGREE THAT WE MAY CONTINUE CHARGING YOU FOR ANY USE OF PREMIUM SERVICES UNDER YOUR BILLING ACCOUNT UNLESS YOU HAVE TERMINATED YOUR PREMIUM SERVICES AS SET FORTH ABOVE.
Cancelling or Changing Services. To change or resign your Services at any time, go to Account settings. Please contact us at support@DubRight.ai if you need any assistance. Any request for cancellation must be sent three (3) days prior to the end of the Subscription term to allow for adequate processing time. Your non-termination or continued use of the relevant Service reaffirms that we are authorized to charge your Payment Method the Fees for such Service, including any associated fees (e.g. overage fees or late fees, to the extent applicable). If you terminate a Service, you will be downgraded to the “Free Trial” plan level at the time of your termination; your paid Subscription will not be renewed. You will not be eligible for a prorated refund of any portion of any Fees paid.
Change in Amount Authorized. If the amount to be charged to your Billing Account varies from the amount you preauthorized (other than due to the imposition or change in the amount of state sales taxes), you have the right to receive, and we shall provide, notice of the amount to be charged and the date of the charge before the scheduled date of the transaction. Any agreement you have with your payment provider will govern your use of your Payment Method. You agree that we may accumulate charges incurred and submit them as one or more aggregate charges during or at the end of each billing cycle.
Refunds at our discretion. Once initiated by you, payment obligations are non-cancelable. Except as expressly set forth in these Terms of Service, DubRight will, at our discretion, issue refunds or pro-rate any Fees for early cancellation or termination of the Services.
Chargeback Policy; Disputes. If you have a question about charges made to your Account, please contact us immediately. If the charges were made in error, we will credit your Billing Account or Payment Method for the appropriate amount. Please note that DubRight has a zero tolerance policy for chargebacks. Any customer who disputes a credit card payment that is found to be valid will be permanently banned from use of any and all DubRight Services.
Free Trials and Other Promotions. Any free trial or other promotion that provides access to a Premium Service must be used within the specified time of the trial.
Feedback. At all times DubRight will have the unrestricted right to use and act upon any suggestions, ideas, enhancement requests, feedback and recommendations you provide specifically relating to the features, functionality and performance of the Services.
12. Miscellaneous
12.1. These Terms represent the whole agreement about your use of our services.
12.2. We may use third parties to undertake services, but we are still liable for their activities.
12.3. You authorize us to use your logo, trademarks, and materials for marketing purposes.
12.4. Our rights and obligations hereunder cannot be assigned without our prior agreement.
12.5. These Terms are written in English; in the event of discrepancies, the English version shall apply.
